I. NAME
This organization shall be known as:
DIABLO ADULT SOCCER LEAGUE, INC. (DASL).

II. PURPOSE
The purpose of DASL shall be to develop, promote, and govern the game of soccer among adult men over 30 years of age and adult women over 25 years of age. DASL encourages all players to participate equally in the game of soccer.

III. MEMBERSHIP
A. Any person who plays on a soccer team associated with DASL is eligible for general membership.

B. Honorary members will be recommended by the Board of Directors and approved by a majority of the voting membership at the next General Membership meeting.

C. All members shall abide by DASL's Constitution, By-laws, disciplinary guidelines, rules and regulations set forth by the Board of Directors, and all applicable rules and regulations for any organization which DASL may affiliate.

IV. AFFILIATION
A. DASL is not affiliated with any other soccer league.

B. DASL may affiliate with any association upon approval of a majority of the voting membership at the Annual General Membership meeting.

V. BOARD OF DIRECTORS
A. The Board of Directors (DIRECTORS) shall be DASL's governing body and shall serve without remuneration.

B. The DIRECTORS shall be composed of the officers according to Article VI. Not more than two (2) elected Director shall be a member of the same team.

C. The officers shall be elected by the members in good standing at the Annual General Membership meeting.

1. Nominations may be made from the floor in addition to those presented by the Nominating Committee.
2. Election shall be made by a simple majority of the votes cast for each office.
3. Officers shall assume their office on JULY 1st, following their election.
4. The term of office shall be one year.

D. The DIRECTORS shall meet quarterly and as scheduled by the president.
1. All meetings shall be open to the general membership.
2. A quorum shall be at least fifty percent (50%) of the DIRECTORS.
3. Each DIRECTOR shall have one vote, the president shall vote only in the event of a tie. in the event of Co-DIRECTORs, the board position shall have only one vote.
4. All meetings shall be conducted in accordance with Robert's Rule of Order. This includes all meetings of any formed committees.

E. The DIRECTORS shall be responsible for.
1. Enforcing the Constitution, By-Laws, Rules and Regulations of DASL.
2. Sanctioning the divisional alignment of teams.
3. Sanctioning the scheduling of games.
4. Determining DASL policy.
5. Conducting or delegating all DASL business between General Membership Meetings.
6. Auditing the annual financial statements for DASL.

VI. OFFICERS

A. PRESIDENT
The PRESIDENT is the principal officer of DASL. The president shall conduct all the meeting of the DIRECTORS and the General Membership; carry out all By-laws, Rules and Regulations of DASL; sign checks in combination with either the treasurer or vice president; serves as parliamentarian and maintain league insurance policy.

B. VICE PRESIDENT
The VICE PRESIDENT assists the president and serves in the absence of the president. The V.P. shall sign checks in combination with either the president or treasurer; chair the realignment committee and distribute new league schedules; and submit final league standings.

C. TREASURER
The TREASURER keeps an accounting of all financial matters. The treasurer shall regularly report all financial matters to the DIRECTORS in a manner in accordance with generally accepted accounting principles; sign checks in combination with either the president or vice president; deposit all receipts into DASL's bank account; maintain DASL's bank account; pay all bills authorized by the DIRECTORS; prepare the annual fiscal financial budget; and issue an annual financial statement for the Annual General Membership Meeting.

D. SECRETARY 
The SECRETARY keeps a written record of all DASL activities. The Secretary shall prepare and maintain accurate minutes of all DASL meetings; handle all general correspondence; maintain and update DASL's Constitution, By-laws, Rules and Regulations; give notice of DIRECTORS and General Membership meetings as required by the Constitution and By-laws; arrange facilities for all General Membership meetings; and distribute minutes of the last DIRECTORS meeting to each DIRECTOR within twenty (20) days after the meeting.

E. DISCIPLINARY COMMITTEE CHAIRPERSON
The DISCIPLINARY COMMITTEE CHAIRPERSON shall preside over all meeting of the Disciplinary Committee; keep and maintain records on any disciplinary action taken against either any team or player, collect player passes from a player receiving a red card and return the player pass to the player's team representative after the appropriate disciplinary action has been taken; and notify the player's team representative of any disciplinary procedure being taken against a player, and/or a team. Writing and maintaining the leagues FIFA rules exception list. It will be an addendum report listed in the ByLaws and posted on the league website.

F. LEAGUE REGISTRAR
The League Registrar is to maintain registration of all members and teams; maintain a data base of membership and team rosters; and keep waiver/release form records. 

VII. GENERAL MEMBERSHIP MEETING

 A. All meetings shall be conducted in accordance with Robert's Rule of Order. This includes all meetings of any formed committees.

B. The Annual General Membership meeting (AGM) shall be held during the third week of May each year.

C. Additional Annual General Membership meetings may be held either when requested by the DIRECTORS or when requested by at least ten percent (10%) of the membership, submitted by written petition, and may only consider those actions for which the meeting was either convened or petitioned.

D. Additional General Membership meetings must be announced to all members at least ten (10) days before the meeting date.

E. Any proposed changes to either the Constitution or By-laws must be submitted, in writing, to all team representatives at least thirty (30) days before the meeting date in which they are voted upon.

F. At all General Membership meetings, each attending member shall have one vote.

G. At all General Membership meetings, either ten percent (10%) of the members or twenty (20) members, which ever is smaller, shall constitute a quorum.

H. A simple majority of those present shall be sufficient to decide all issues except as provided in Article IX of the Constitution.

I. All teams must have one representative at the AGM or pay a fine of $50 prior to the start of the following season.

VIII. DISSOLUTION

Should DASL be dissolved, all remaining assets after paying all debts shall be equally divided among the teams in DASL at the time of dissolution.

IX. AMENDMENTS

The Constitution and By-laws shall be amended by at least a two-thirds vote of the members attending any General Membership meeting provided the announcement of the meeting indicates that an amendment to either the Constitution or the By-laws would be proposed, and a quorum is present.
